ARTICLE I IDENTIFICATION

Section 1:
The name of this organization will be Triangle Society for Human Resource Management (TSHRM).

Section 2:
This association will be affiliated with the Society for Human Resource Management (SHRM).

Section 3:
The fiscal year of this organization will start on January 1 and end on December 31 of each year.

Section 4:
In the event of TSHRM’s dissolution the remaining monies in the Treasury, after chapter expenses have been paid, will be contributed to the North Carolina SHRM Scholarship fund.

ARTICLE II AIMS AND PURPOSES

Section 1:
To provide assistance in the professional development of every member.

Section 2:
To provide leadership in establishing and supporting standards of excellence in every phase of human resource management.

Section 3:
To enhance awareness of government laws/regulations, how they affect business, and how members can influence the political process.

Section 4:
To serve as a focal point for the exchange of data and information.

ARTICLE III MEMBERSHIP

Section 1:
TSHRM is an equal opportunity organization without regard to race, creed, color, gender, religion, national origin, disability, veteran status, marital status, sexual orientation or age in connection with, but not limited to, membership, committee appointments and candidates for office. All memberships are individual and not transferable. Eligibility for membership is subject to the following conditions:

Professional Member
Professional membership in TSHRM includes the following:

  1. Those persons whose professional employment and primary career interest is in the field of human resource management
  2. Persons employed as faculty members or program administrators with responsibilities relative to human resource management
  3. Full-time consultants, HR service providers or labor attorneys with at least 3 years of experience in the field of human resource management
  4. Recent college graduates pursuing positions in human resources and human resources professionals actively seeking employment
  5. Professionals who show a bona fide interest in the human resource profession as well as a commitment to strengthening TSHRM through active participation and professionalism (This must be demonstrated to the satisfaction of the VP of Membership and/or the Board of Directors through review of the individual's education, experience, national SHRM membership and/or certification)

Student Member
Individuals who are currently enrolled at an accredited college or university and who are either members of TSHRM's student chapter on that campus or are a SHRM Student Member-At-Large. A student member's status will convert to a professional member immediately upon graduation from school with all the associated rights and responsibilities applicable. Student members will not be allowed to vote or serve on the Board of Directors.

Section 2:
Candidates for membership will complete a written application. Such applications will be reviewed by the Vice President of Membership and endorsed if membership requirements are met. Applications will be reviewed by the Board of Directors in the event of any eligibility questions.

Section 3:
Members may not engage in solicitation of business during any TSHRM function, nor may they utilize the membership roster for business solicitation. If a member is found soliciting, the Board of Directors will review the issue and determine the appropriate course of action, which could include immediate termination of membership.

Section 4:
Honorary membership is available to any retired Human Resources professional upon submission of application for membership and approval by the Board of Directors. Honorary members will not have voting privileges and will not pay local dues, but will pay any required charges for meetings attended.

ARTICLE IV DUES

Section 1:
Dues for membership of this organization will be determined by the TSHRM Board of Directors. Dues will be the same for all members and will be paid annually (January-December).

Membership in SHRM will not be a requirement for membership in the TSHRM. However, annual dues will be discounted for members who are also current members of SHRM and who have designated TSHRM as their primary chapter. It is a requirement that 30% of TSHRM members be national members in order to maintain affiliation with SHRM.

Section 2:
For new members joining TSHRM after March 31st and through September 30th, the local dues and discounts for primary chapter designations will be pro-rated at one-half the annual amount of dues set by the Board for that year. After September 30th, new members will pay the dues for the following year and membership status will become active immediately upon receipt of dues. Continuing members will be required to pay the regular price of dues until February 28th, after which time he/she will receive a past-due notice. After March 31st, the member will be dropped from the roster.
 
Section 3:

Students will pay a student member rate for TSHRM membership as set by the TSHRM Board per Section 4 of Article IV. This will be further discounted if the student is a National SHRM Student Member. Local meeting fees for student members will be either partially or fully absorbed by the membership as follows:

  • Student Chapter President and Student Chapter Faculty Advisor will be invited to attend each local meeting at no charge.
  • Other Student Chapter Officers will be invited to attend each meeting at a discount off the member rate (as decided annually by the TSHRM board).
  • Student members-at-large will be invited to attend each meeting at a discount off the member rate (as decided annually by the TSHRM board).
  • Annual chapter dues for the Student Chapter Faculty Advisor will be waived. Annual SHRM dues for the Student Chapter Faculty Advisor will be fully absorbed by TSHRM.
Section 4:
The amount of the local dues will be set by the TSHRM board no later than December 15 of each calendar year. Members who pay annual dues but leave TSHRM during the year will not receive a refund of dues.
 
Section 5:
Dates for meetings will be set by the TSHRM board. Members will be assessed a fee for each meeting attended and/or each meeting for which a reservation is made and not canceled in time to avoid cost to TSHRM.
 
Section 6:
All dues and fees will be payable on or before the due date when billed. When any member owes dues or is otherwise indebted to TSHRM for a period of thirty (30) days from the date when same becomes due and payable, he/she will receive a past-due notice. When any member owes dues or is otherwise indebted to TSHRM for a period of sixty (60) days from the date when same becomes due and payable, he/she will be automatically dropped from the membership.
 
ARTICLE V BOARD OF DIRECTORS
 
Section 1:
The officers of the chapter will consist of a president, a president-elect, a vice president of programs and a vice president of membership.
 
Section 2:
The Board of Directors will be composed of the elected officers, appointed positions (detailed in Section 3) and a past president. The Board of Directors will serve for TSHRM’s calendar year, January 1 through December 31. Elected officers may serve for two (2) years in the same position, if nominated. However this would be the exception rather than the rule.
 
Section 3:
Members will self-nominate for appointed positions. The President and President-Elect will be responsible for deciding calendar year appointments to the following positions: Secretary, Finance Director, Communications Director, Legislative Director, College Relations Director, On-Line Member Services Director, Public Relations Director, Workforce Development Director, Diversity Director, and Certification Director. Positions may be job-shared. Additionally, there may be up to four (4) Advisors serving the board during a membership year.
 
Section 4:
Any vacancy in the Board of Directors will be filled for the un-expired term by the nomination of the President and a majority vote by the Board of Directors.
 
Section 5:
The Board of Directors’ key objectives are:
  • to assure that the Purposes and Aims of TSHRM are met
  • to assure the long-term strategic as well as annual success of TSHRM

Section 6:
TSHRM Board of Directors will meet no less than every other month. All Board members are required to attend official meetings of the board. No TSHRM business requiring Board voting will be conducted without a quorum which is defined as a majority of the Board of Directors.

Section 7:
Board officers will be nominated by the President and President-Elect, with consultation from the present Board and others as appropriate. Individuals will also be encouraged to self-identify and express their interests to the President or President-Elect. The slate of Board officers will be presented to the membership. The officers will be approved with a majority vote of eligible voters.

Section 8:
Key Responsibilities of the Board of Directors

Note: The President and Board of Directors collectively decide on strategies and plans that affect TSHRM as a whole. However, individual Directors are primarily responsible for developing and introducing strategies to the Board in their individual area.
 
President: Provides strategic and operational leadership to ensure the success of the organization. Recommends the Board of Directors, presides at meetings, and coordinates the various functional groups and committees. The President will maintain a liaison with and must be a member in good standing of SHRM throughout his/her term; this is required to maintain chapter affiliation with SHRM. The President for the preceding calendar year will serve for a one-year term with the title of Past President.
 
President-Elect: Performs duties of the President in his/her absence. Responsible for nominating and/or appointing of the following year’s Board of Directors. Assists the President with leading the organization so as to ensure a smooth transition between Boards.
 
Past President: Serves as the advisor to current President on an as needed basis relying upon previous experience as chapter President.
 
Secretary: Responsible for areas including keeping the minutes and official records of TSHRM’s Board Meetings, writing correspondence on behalf of TSHRM, and coordinating details such as ordering letterhead, envelopes, miscellaneous supplies, etc.
 
Vice President Programs: Develops and implements strategies to educate members and provide networking opportunities through monthly meetings, roundtable discussions, seminars, etc. Responsibilities include coordinating program speakers, meeting facilities/logistics, surveying members’ views on monthly meetings/related activities, etc.
 
Vice President, Membership: Develops and implements strategies to recruit and retain members. Primary responsibilities include approving TSHRM membership applications, annually updating and producing membership directory and coordinating member related activities such as managing the annual membership renewal campaign. Develops and implements strategies to ensure that members, especially new members, are properly welcomed into the chapter, introduced to established members, and fully integrated into the membership.
 
Finance Director: Develops and implements strategies to assure the financial health of TSHRM. This includes strategies for revenue generation as well as maintaining financial records and disbursing funds. Responsible for collecting dues/income, paying all bills and producing monthly financial statements to the Board of Directors. 

Communications Director: Develops and implements strategies to provide information to TSHRM members and interested outside parties on a regular basis. This primarily includes having total responsibility for activities associated with the compilation and distribution of the chapter newsletter and maintaining current information on the chapter website.

Legislative Affairs Director: Develops and implements strategies on communicating national, state and local legislative regulations to TSHRM members. This includes keeping membership informed on pertinent Human Resources-related legislation, and communicating ways on how members can express their opinions on behalf of the chapter to the appropriate legislative bodies.

College Relations Director: Develops and implements strategies for student SHRM chapters affiliated with TSHRM. Responsibilities include establishing student chapters at an accredited college or university within the service area of TSHRM, providing guidance and assistance to the student chapter President in coordinating student chapter activities, providing opportunities for student chapter members to participate in TSHRM activities, and developing mentoring opportunities between student members and active TSHRM members.
 
Online Member Services Director: Maintains and updates the member services located on the website such as Member Skills Bank, Career Profiles, Job Bank, Benchmarking, and local HR events. Communicates with web coordinator so that bsolete information is removed from the TSHRM website. Promotes online to members and encourages utilization.
 
Public Relations Director: Develops and implements strategies that ensure that upcoming TSHRM meetings are dvertised in both the local community and professional newspapers. Instrumental in developing benevolent ways in which TSHRM an benefit both its members and outside organizations; e.g., educational scholarships, complementary subscription of a uman resources-related journal to an accredited college or university within the service area of TSHRM, publicizing volunteer efforts within the community that TSHRM members can become involved in, etc.
 
Workforce Development Director: Coordinates opportunities for member's organizations to support community programs imed at preparing youth for tomorrow’s workplace through activities such as internships, mentoring programs, employee ducational lunch-time seminars, etc.
 
Diversity Director: Initiates chapter diversity goals and activities such as workshops on the benefits of diversity in the orkplace, the development of mentoring programs with member organizations, etc.
 
Certification Director: Responsible for providing members with information about upcoming PHR/SPHR certification xaminations. Coordinates certification study group for interested members twice each year in conjunction with the Human Resource Certification Institute’s bi-annual PHR/SPHR certification examinations.
 
Board Advisors: Through their experience and leadership qualities, these individuals provide overall guidance to TSHRM. They may also assist other Board members and chair special projects.
 
Section 9:
Any director or officer may be removed from office, with or without cause, upon an affirmative vote of two-thirds of the entire Board of Directors at a duly constituted Board of Directors meeting.
 
ARTICLE VI MEETINGS
 
Section 1:
Chapter meetings will be held on the fourth Thursday of the month unless the Board determines another date to be more suitable, in which case, the membership will receive advance notice. The time and place for the meetings will be determined by the nature of the program and membership preferences.
 
Section 2:
Proposals requiring voting of the membership will be approved by a majority of vote of the members present (except as modified in Article VIII Amendments).
 
ARTICLE VII COMMITTEES
 
Section 1:
The Board of Directors will decide upon committees deemed proper and necessary to fulfill objectives and purposes of the organization.
 
Section 2:
All committee chairpersons will be appointed by the President, subject to the approval of the Board of Directors.
 
ARTICLE VIII AMENDMENTS
 
Section 1:
The Constitution and By-Laws of which this Article is a part, may be amended upon recommendation of the Board of Directors and ratified by two-thirds vote of the members responding to a voting request either on-line or at any general or special meeting provided written notice has been given each member at least ten (10) days in advance of such meeting.
 
Section 2:
Proposed amendments will be forwarded to SHRM before amendments are ratified.
